        <label>Samenvatting</label>
        <p>In dit artikel wordt uiteengezet welke informatie over sociale aspecten door Nederlandse beursgenoteerde ondernemingen wordt gepubliceerd in hun jaarverslagen over 2022. Het getoonde onderzoek gaat over de rapportages van de 75 hoofdfondsen van de AEX, AMX en AScX. Voor een groot deel van deze ondernemingen is verslaggeving over niet-financiële informatie verplicht (<xref ref-type="bibr" rid="B1">AE 2018</xref>; EU 2014), maar die verplichting kent geen heldere voorschriften over het rapporteren over sociale aspecten, anders dan generieke regels (<xref ref-type="bibr" rid="B10">EC 2014</xref>). Vrijwillig rapporteren hierover draagt bij aan de maatschappelijke legitimiteit en de ‘licence to operate’ van ondernemingen. Dit onderzoek laat zien dat veel ondernemingen al rapporteren over sociale aspecten, nog voordat dit verplicht wordt gesteld onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EAD">CSRD</abbrev>. Daarbij zien we grote verschillen bij de detailaspecten. Harde conclusies kunnen door de manier van onderzoeken niet worden getrokken.</p>

      <title>Relevantie voor de praktijk</title>
      <p>Hoe ondernemingen rapporteren over sociale aspecten, waaronder mensenrechten, wordt steeds belangrijker voor ondernemingen en de maatschappij. Naast de bestaande verplichtingen om over eigen personeel te rapporteren, zullen veel ondernemingen in de toekomst verplicht uitgebreider moeten rapporteren over sociale aspecten en duidelijke standpunten moeten innemen hierover – ver weg én dichtbij huis in de hele waardeketen van de onderneming. Het in kaart brengen van de omgang met sociale aspecten in de hele keten is vaak lastig.</p>

    <sec sec-type="1. Inleiding" id="SECID0ERD">
      <title>1. Inleiding</title>
      <p>Ondernemingen publiceren jaarrapporten om belanghebbenden te informeren en om bruikbare informatie te verschaffen. Dit varieert van het traditionele financiële jaarverslag tot allerlei niet-financiële rapporten en geïntegreerde rapporten. Dit onderzoek is een exploratief onderzoek naar de praktijk van het rapporteren over sociale aspecten door Nederlandse beursgenoteerde ondernemingen. Wat wordt er gerapporteerd over sociale aspecten? Het begrip ‘sociale aspecten’ is het Nederlandstalige equivalent van ‘social topics’ uit de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EXD">CSRD</abbrev>, de ‘S’ uit de Environmental-Social-Governance, ofwel ESG. In de huidige regelgeving (BW2 Titel 9 en de <abbrev xlink:title="Non-Financial Reporting Directive" id="ABBRID0E2D">NFRD</abbrev>) wordt in algemene termen aandacht besteed aan sociale aspecten, maar in meer detail via vrijwillige raamwerken als het Global Reporting Initiative (<xref ref-type="bibr" rid="B14">GRI 2022</xref>). Vooruitlopend op de Corporate Sustainability Reporting Directive (<abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EDE">CSRD</abbrev>), en later ook de Corporate Sustainability Due Diligence Directive (<abbrev xlink:title="Corporate Sustainability Due Diligence Directive" id="ABBRID0EHE">CSDDD</abbrev>; <xref ref-type="bibr" rid="B13">EC 2023c</xref>), zullen ondernemingen wellicht nu al zaken vrijwillig rapporteren die op een later moment verplicht gaan worden; met meer details over ESG, en meer sociale aspecten in het bijzonder. Dit onderzoek kan inzicht verschaffen met betrekking tot de stand van zaken bij rapportages over sociale aspecten, voordat de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EPE">CSRD</abbrev> van toepassing is.</p>
      <p>Het doel van het verstrekken van niet-financiële-informatie en de doelgroep zijn vaak niet helder. Ruwweg zijn er twee stromingen: het verstrekken van nuttige informatie aan de financiële markt enerzijds en verantwoording afleggen aan de maatschappij en aan een brede groep stakeholders over maatschappijbrede duurzame economische ontwikkeling anderzijds. Vanwege de verplichting of aanstaande verplichtingen die (gaan) gelden voor veel van de onderzochte ondernemingen zijn discretionaire keuzes door ondernemingen niet los te zien van (toekomstige) regelgeving en compliance. Net als in <xref ref-type="bibr" rid="B20">Orij et al. (2022)</xref> bestuderen we de 75 indexfondsen van de AEX, AMX en AScX. Van die ondernemingen zijn alle door hen op het internet gepubliceerde verslagen onderzocht, financieel en niet-financieel. Daarbij hebben we:</p>

      <p>Dit onderzoek laat zien welke aspecten gerapporteerd zijn, en ook wat er niet gerapporteerd is. Het onderzoek laat niet zien over welke aspecten ten minste gerapporteerd zou moeten worden op basis van een deugdelijke materialiteitsanalyse. Daarbij wordt in eerste instantie gekeken hoeveel ondernemingen over welke aspecten rapporteren.</p>

      <title>2. Regelgeving en theoretisch kader</title>
      <p>Regelgeving over niet-financiële verslaggeving bestaat, maar is niet zeer gedetailleerd (<xref ref-type="bibr" rid="B6">Breijer and Orij 2022</xref>). Sinds 2017 geldt voor grote OOB’s de Non-Financial Reporting Directive (<abbrev xlink:title="Non-Financial Reporting Directive" id="ABBRID0EJF">NFRD</abbrev>). Met ingang van 2024 zal voor een groep ondernemingen de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0ENF">CSRD</abbrev> gaan gelden, die qua detaillering en scope een uitbreiding is van de <abbrev xlink:title="Non-Financial Reporting Directive" id="ABBRID0ERF">NFRD</abbrev>. Daarbij zijn de European Sustainability Reporting Standards (<abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EVF">ESRS</abbrev>) een belangrijk onderdeel van de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EZF">CSRD</abbrev>. We nemen de laatste versie van de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0E4F">ESRS</abbrev>’en mee als input voor onze analyse.</p>
      <p>In een later stadium zal ook de Corporate Sustainability Due Diligence Directive (<abbrev xlink:title="Corporate Sustainability Due Diligence Directive" id="ABBRID0EDG">CSDDD</abbrev>) worden ingevoerd. De <abbrev xlink:title="Corporate Sustainability Due Diligence Directive" id="ABBRID0EHG">CSDDD</abbrev> gaat sterk in op acties rondom duurzaamheid en mensenrechten in de waardeketens, maar die zijn ook al van belang bij het rapporteren over sociale aspecten onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0ELG">CSRD</abbrev> en de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EPG">ESRS</abbrev>’en (<xref ref-type="bibr" rid="B11">EC 2023a</xref>, <xref ref-type="bibr" rid="B12">EC 2023b</xref>). We zullen hier niet verder ingaan op de <abbrev xlink:title="Corporate Sustainability Due Diligence Directive" id="ABBRID0E2G">CSDDD</abbrev>.</p>
      <p>Theoretisch kan het rapporteren over sociale aspecten op verschillende wijzen worden bekeken: van agentschapstheorie tot legitimiteitstheorie, stakeholdertheorie, signaleringstheorie en de koppeling met de efficiënte markthypothese. Wij kiezen ervoor om vooral te kijken naar legitimiteit. De koppeling met economische consequenties is bij sociale aspecten niet sterk onderbouwd. Een belangrijk overzichtsartikel over duurzaamheid en economische consequenties van Christensen et al. (2021) laat geen duidelijk verband hieromtrent zien. Zij spreken van maatschappelijke welzijn, ofwel ‘social welfare’, dat op zijn best geen financiële waarde vernietigt.</p>
      <p>Het belangrijkste theoretische fundament van omgang met informatieverstrekking over mensenrechten in het bijzonder en sociale aspecten in het algemeen kan worden geplaatst onder de noemer van maatschappelijke legitimiteit. Legitimiteit, of eigenlijk het verlies daarvan, kan leiden tot verlies van draagvlak in de maatschappij en de zogenoemde ‘licence to operate’. Onderzoek op dat terrein, gekoppeld aan verslaggeving, werd rond 2000 veel gedaan. Dat onderzoek heeft nooit veel diepgang gekregen, en is ook nooit eenduidig aan sociale aspecten gekoppeld. Legitimiteitsvraagstukken in die onderzoeken waren altijd gekoppeld aan een paar specifieke determinanten: de grootte van ondernemingen (hoge bomen vangen veel wind), bedrijfstakken (gevoelige bedrijfstakken) (<xref ref-type="bibr" rid="B4">Adams et al. 1998</xref>) en breed uitgemeten schendingen van maatschappelijke verantwoordelijkheden van ondernemingen, zoals mensenrechtenschendingen (<xref ref-type="bibr" rid="B16">Islam 2017</xref>).</p>
      <p>De organisatorische legitimiteit van bedrijven, zoals gedefinieerd door <xref ref-type="bibr" rid="B9">Dowling and Pfeffer (1975)</xref>, is het vaststellen van congruentie tussen de acties van het bedrijf en maatschappelijke waarden. Een uitgebreide bespreking van deze theorie wordt gegeven door <xref ref-type="bibr" rid="B15">Gray et al. (1996)</xref> en <xref ref-type="bibr" rid="B8">Deegan (2002)</xref>. Zij stellen dat legitimiteit nodig is voor een ‘going concern’. Legitimiteit gaat over de verwachtingen die de samenleving heeft van de onderneming. Deze verwachtingen kunnen veranderen en ondernemingen dienen dan actie te ondernemen, in dit geval te rapporteren.</p>
      <p><xref ref-type="bibr" rid="B8">Deegan (2002</xref>, p. 290) relateert het idee van legitimiteit direct aan het concept van een sociaal contract. Het sociaal contract is een begrip uit de 17e en 18e eeuw van Hobbes en Rousseau. Organisaties, en dus ook ondernemingen, dienen de maatschappij iets te leveren om in de maatschappij te kunnen opereren. Dat ‘iets’ kan duurzaamheidsverslaggeving zijn. <xref ref-type="bibr" rid="B19">O’Donovan (2002</xref>, p. 349) stelt drie niveaus van acties, gericht op legitimiteit door organisaties: het verkrijgen van legitimiteit, het behoud van legitimiteit en het herstel van legitimiteit.</p>
      <p>De eerste is gericht op nieuwe of groeiende ondernemingen, de tweede is een vorm van ‘onderhoud’ door gevestigde ondernemingen (bijvoorbeeld ‘de hoge bomen’) en de laatste is gericht op herstel na legitimiteitsschendingen. We zetten dit niet letterlijk als kwalificatiemechanisme in, maar we verwachten vooral de tweede vorm tegen te komen bij de door ons onderzochte ‘gevestigde namen’.</p>
    </sec>
    <sec sec-type="3. Dataverzameling" id="SECID0EEAAC">
      <title>3. Dataverzameling</title>
      <p>Voor dit onderzoek zijn twee soorten data gebruikt; sociale aspecten uit de rapporten en financiële data uit Refinitiv. De benodigde rapporten zijn handmatig als pdf’s van de websites van de onderzochte ondernemingen gedownload. Om vast te stellen welke informatie over sociale aspecten verstrekt is, gebruikten we computerondersteunde tekstanalyse (computer-aided text analysis, <abbrev xlink:title="computer-aided text analysis" id="ABBRID0EKAAC">CATA</abbrev>) voor de pdf’s. De werkwijze maakt gebruik van software om grote hoeveelheden tekst te analyseren. <abbrev xlink:title="computer-aided text analysis" id="ABBRID0EOAAC">CATA</abbrev> voorkomt mogelijke fouten bij het handmatig verkrijgen van data, omdat algoritmes zijn geprogrammeerd om teksten te analyseren en omdat bepaalde subjectiviteit wordt vermeden (<xref ref-type="bibr" rid="B6">Breijer and Orij 2022</xref>). Deze manier past bij het zoeken naar teksten, maar is niet gericht op het vaststellen van kwaliteit van rapportages.</p>
      <p>Volgens de UN Guiding principles on Business and Human Rights (<xref ref-type="bibr" rid="B21">UN 2011</xref>, p. 15) bestaat er geen enkelvoudige uitputtende lijst van types mensenrechten. Wij onderzoeken de bredere sociale aspecten uit de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0E3AAC">ESRS</abbrev>’en, in het bijzonder S1 tot en met S4 uit de ‘application requirements’ in Bijlage 1 van <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EABAC">ESRS</abbrev> 2 (<xref ref-type="bibr" rid="B12">EC 2023b</xref>). We hebben gekeken naar de zogenoemde ‘topics’en voor detailscores naar de ‘sub-sub-topics’ van S1–S4. We onderzoeken het vermelden van ‘sub-topics’ niet apart, omdat die naast ‘topics’ en ‘sub-sub-topics’ niets toevoegen, als we alleen kijken naar woordgebruik. In de Bijlagen 1: Tabellen A1, A2 staan de gedefinieerde zoektermen, die de exacte teksten bevatten, maar ruimer zijn geformuleerd dan de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EIBAC">ESRS</abbrev>-teksten, bijvoorbeeld synoniemen of alternatieve spellingswijzen.</p>
      <p>De belangrijkste tekortkoming van deze werkwijze is dat de context niet wordt onderzocht waarin de onderwerpen worden besproken. Het voordeel van het met behulp van software zoeken naar termen is dat het zoeken feilloos is. Maar feitelijk is het een ruwe zoekmethode. Ons onderzoek naar ‘sub-sub-topics’ houdt in dat we alleen vermeldingen van die topics registreren; we onderzoeken niet de diepgang van die topics. Met andere woorden: we analyseren niet of ondernemingen allerlei toelichtingen, tabellen of visuele uitleg geven over de specifieke sociale aspecten. Ook vermeldenswaardig is het zoeken naar relatief nieuwe <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EOBAC">ESRS</abbrev>-teksten in rapporten die al voor het publiceren van de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0ESBAC">ESRS</abbrev>’en zijn opgesteld. Er is dus gezocht naar iets wat bij het opstellen van het verslag over 2022 nog niet formeel bekend was. Het vinden van die letterlijke teksten kan dus moeilijk betekenen dat ondernemingen voorsorteren op iets wat nog niet bestond. De data zijn daardoor alleen indicatief voor rapportage over <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EWBAC">ESRS</abbrev>-gerelateerde sociale aspecten.</p>

      </table-wrap>
      <p>In Tabel <xref ref-type="table" rid="T1">1</xref> staat een beschrijvend overzicht van de onderzochte ondernemingen, met daarbij een ruwe schets van de aantallen rapporten, de grootte van de ondernemingen en de spreiding over bedrijfstakken. We hebben 75 ondernemingen onderzocht, 25 van elke index, waarvan er 62 bij de eerste groep horen die vanaf boekjaar 2024 aan de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EEWAG">CSRD</abbrev> moet voldoen. De andere 13 horen bij de bij de groep die hier vanaf boekjaar 2026 aan moet voldoen (zie uitleg in voetnoot van panel A van Tabel <xref ref-type="table" rid="T1">1</xref>). Logischerwijs moet het overgrote deel van de AEX-ondernemingen in de eerste ronde (boekjaren die aanvangen in 2024) daaraan voldoen, namelijk 24. Van de andere indices geldt het volgende: op drie na vallen ook alle AMX-ondernemingen en 16 van de ASCX-ondernemingen in de eerste groep van de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EMWAG">CSRD</abbrev>.</p>
      <p>AEX-ondernemingen zijn gemiddeld veel groter dan ondernemingen in de andere indices als het gaat om balanstotaal, omzet en personeel. De verwachting is dat grotere ondernemingen vaker over sociale aspecten rapporteren dan kleinere, wat is toe te schrijven aan het feit dat deze onder een publiek vergrootglas liggen, gekoppeld aan maatschappelijke legitimiteit.</p>
      <p>De verdeling over de bedrijfstakken verschilt enigszins tussen de indices. AEX kent enige concentraties, zoals ‘manufacturing’, ‘Finance and Insurance’ en ‘information’. De AMX bevat ook veel ‘manufacturing’, maar verschilt vooral van de andere indices vanwege een hoger percentage ondernemingen in ‘Mining, Quarrying, and Oil and Gas Extraction’ en ‘Transportation and Warehousing’. De ASCX bevat ook veel ‘manufacturing’, maar de ondernemingen zijn verder relatief verspreid over bedrijfstakken en er missen ook een paar bedrijfstakken. De verschillen tussen de indices zouden ook een determinant van de rapportageverschillen kunnen zijn, maar dat is hier niet onderzocht.</p>
      <p>In Tabel <xref ref-type="table" rid="T2">2</xref> is te zien alle ondernemingen iets melden over de vier sociale aspecten, die worden aangestipt door S1 tot en met S4, de zogenaamde ‘topics’. Over de eigen medewerkers en klanten wordt door alle ondernemingen gerapporteerd. Over ‘workers in the value chain’ wordt door de meeste ondernemingen iets vermeld (69% van alle ondernemingen), met de meeste ondernemingen in de AEX (80%), kort daarop gevolgd door de AMX met 72% en de ACSX met 56%. Over ‘affected communities’ is het minst gerapporteerd. 19% van alle ondernemingen rapporteert hier iets over. In de AEX doen negen (26%) van de ondernemingen dat, in de AMX doen dit er twee van de 25 (8%), en in de ASCX doen dit er drie van de 25 (12%). Een mogelijke verklaring hiervoor is dat dit aspect naar verwachting niet materieel zal zijn voor een groot deel van de ondernemingen. Onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EYWAG">CSRD</abbrev> en de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0E3WAG">ESRS</abbrev>’en zullen alleen aspecten gerapporteerd gaan worden die óf in financiële zin, óf in de mate van impact materieel zijn; de zogeheten dubbele materialiteitsanalyse die bepaalt of een aspect gerapporteerd dient te worden (<xref ref-type="bibr" rid="B11">EC 2023a</xref>, <xref ref-type="bibr" rid="B12">EC 2023b</xref>). Daarnaast is het bestuur sinds verslagjaar 2005 verplicht om te rapporteren over (milieu- en) personeelsaangelegenheden (<xref ref-type="bibr" rid="B7">De Bruijn et al. 2007</xref>).</p>
      <p>In Tabel <xref ref-type="table" rid="T3">3</xref> is te zien welke details in de rapporten omtrent ‘social’ genoemd worden, de zogenoemde ‘sub-sub-topics’. Deze detailaspecten staan genoteerd op alfabetische volgorde. Het betreft een lijst van 33 aspecten, die te koppelen zijn aan ‘topics’ uit S1–S4. Die koppeling is in de meeste gevallen niet uniek, zodat er bij gebrek aan onderzoek naar de context geen koppeling kan worden gemaakt met de ‘topics’ in S1–S4; alleen de mogelijke koppelingen met S1–S4 worden genoemd, niet de werkelijke. 14 van de 33 detailaspecten zijn slechts uniek aan een ‘topic’ te koppelen, en 19 dus niet. Hier volgt een beschrijving van de meest opvallende voorkomende en missende detailaspecten. Van de 33 detailaspecten worden er twee door alle ondernemingen genoemd: ‘diversiteit’ en ‘training &amp; development’. Veel detailaspecten krijgen veel aandacht in de huidige tijd, zoals diversiteit, of zijn al enige tijd ‘common practice’ in het Nederlandse bedrijfsleven, zoals ‘training &amp; development’ (<xref ref-type="bibr" rid="B17">Kamp-Roelands et al. 2021</xref>). Daarbij moet de kanttekening worden geplaatst dat deze wellicht vooral geldt voor het eigen personeel en niet voor werkenden in de keten. Dat onderscheid hebben we hier niet onderzocht. De verwachting is dat deze aspecten vooral gerelateerd kunnen worden aan S1, het eigen personeel, omdat daar al langer een (hele algemene) verplichting bestaat om daar over te rapporteren.</p>
      <p>Andere aspecten die vaak voorkomen: ‘Child labour’, Gender equality and equal pay for work of equal value’, ‘Health and safety’ en ‘privacy’. Dat laatste begrip is natuurlijk een zeer generiek woord, zodat het al dan niet noemen ervan lastig te interpreteren is. De andere aspecten zijn voor de hand liggend, en zijn materiële aspecten om over te rapporteren. Opvallend is dat zes van de 33 detailaspecten nergens worden genoemd: ‘Adequate housing’, ‘Freedom of assembly’, ‘Impacts on human rights defenders’, ‘Measures against violence and harassment in the workplace’, ‘Responsible marketing practices’ en ‘Security-related impacts’. Ook zijn er meerdere detailaspecten die maar een enkele keer zijn genoemd: ‘Employment and inclusion of persons with disabilities’, ‘Land-related impacts’, ‘Protection of children’.</p>
      <p>Voor met name het volledig ontbreken van specifieke (detail)aspecten kunnen twee verklaringen bestaan; dat ondernemingen niet hebben gerapporteerd, of dat wij de informatie niet gevonden hebben. Voor de eerste verklaring zou ook de mogelijke dieperliggende verklaring kunnen opgaan dat deze aspecten niet materieel zijn of dat de onderneming de informatie niet heeft, of niet wil vermelden.</p>
      <p>Hoewel we zorgvuldig en consistent naar termen hebben gezocht, kan het zijn dat we de juiste termen niet hebben gezocht. Want wat tegenwoordig een belangrijk thema is – ‘grensoverschrijdend gedrag’ – zou in het Engels ‘violence and harassment in the workplace’ heten. Er is nog weinig wetenschappelijk onderzoek naar dit begrip in de context van ESG gedaan, maar dit onderwerp is natuurlijk wel veel in de populaire pers besproken. Het zou kunnen dat Nederlandse ondernemingen dit nog maar langzaam oppakken (<xref ref-type="bibr" rid="B2">Accountant.nl 2022</xref>).</p>
      <p>Als bepaalde sociale (deel)aspecten worden genoemd bij een klein deel van de ondernemingen dan zal het mogelijk verkeerde gebruik van de zoektermen minder problematisch zijn. Informatie over personeel met een handicap, informatie over bescherming van kinderen en landgerelateerde informatie komt slechts één keer voor. Een mogelijke verklaring hiervoor is dat ondernemingen de privacy-uitdagingen rondom persoonlijke kenmerken in personeelsdossiers niet hebben opgelost. Bij sollicitaties mag geen informatie over handicaps worden gevraagd in Nederland (<xref ref-type="bibr" rid="B5">AP 2023</xref>). Het is ons niet bekend hoe informatie over de medische status van personeel mag worden bijgehouden, als dat al gebeurt. Daarentegen zouden ondernemingen wel over bestaand beleid kunnen rapporteren, wat blijkbaar niet gebeurt.</p>
      <p>Landgerelateerde zaken zijn, zoals uit de data blijkt, voor de meeste ondernemingen niet materieel, en worden daarom maar weinig gerapporteerd. Waarschijnlijk is dit onderwerp vooral van belang in niet-westerse landen als het gaat om het zogeheten ‘land-grabbing’, maar daarover is weinig te vinden in accountingliteratuur. Van ondernemingen met niet-westerse activiteiten en ketens zou toch wel informatieverstrekking over acties en beleid op dit terrein verwacht kunnen worden. Dat zou ook kunnen gelden voor informatie over twee aspecten over kinderen: bescherming van kinderen en kinderarbeid. Dat is waarschijnlijk ook vooral een niet-westers fenomeen, behalve voor de hierboven genoemde ondernemingen met niet-westerse activiteiten, en specifieke bedrijfstakken. Met name de kledingindustrie is bekend met het thema kinderarbeid in landen waar de productie van kleding plaatsvindt. De kledingindustrie is niet vertegenwoordigd in de 75 onderzochte ondernemingen. Voor bepaalde bedrijfstakken geldt dat kinderarbeid wel een materieel aspect is, vooral in het buitenlandse deel van de waardeketen, zoals ondernemingen die cacao verwerken (<xref ref-type="bibr" rid="B18">Kaplan and Ramanna 2021</xref>). ‘Child labour’ is een veelvoorkomende term (49 keer in totaal) en de term ‘protection of children is’ maar één keer genoemd. Het grote verschil in aantallen is niet te verklaren op basis van onze huidige kennis van zaken.</p>
      <p>In Bijlage 1: Tabel <xref ref-type="table" rid="T7">A3</xref> wordt een koppeling gemaakt tussen de sub-sub-aspecten uit Tabel <xref ref-type="table" rid="T3">3</xref> en bedrijfstakken uit Tabel <xref ref-type="table" rid="T1">1</xref>, panel C. De verschillen tussen de bedrijfstakken zijn niet groot. Een paar aspecten komen in alle bedrijfstakken voor en een paar aspecten blijken bedrijfstakspecifiek: ‘health and safety’ in bedrijfstakken waarin fysiek zwaar werk te verwachten valt, en ‘gender equality’ in de financiële sector, wat niet direct te verklaren valt. Verder zijn voor de meeste bedrijfstakken de aantallen ‘te laag’ en kunnen er moeilijk conclusies worden getrokken. De grote lijn is wel dat de meeste hoge scores op het werknemersterrein liggen en dat er geen grote verschillen bestaan tussen de bedrijfstakken.</p>
      <p>In Tabel <xref ref-type="table" rid="T4">4</xref> staan enkele voorbeelden van teksten over sociale aspecten in verslagen uit 2022. Deze teksten laten zien dat er voorbeelden zijn van ondernemingen die duidelijk compliance met de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0E5YAG">CSRD</abbrev> zoeken, daar ook al hun strategie aan koppelen en ook de keuze van te rapporteren aspecten bepalen aan de hand van een materialiteitsanalyse, die soms ook ‘double’ is.</p>
      <p>Een voorbeeld dat is gegeven is Unilever uit de AEX. Unilever beschrijft een duidelijk beeld van het beleid over kinderarbeid (‘child labour’) en meldt dat alle gevallen van kinderarbeid worden onderzocht en aangepakt. Maar rapportages over aantallen zaken zijn niet vindbaar.</p>
      <p>Uit de AMX is een stuk tekst uit het annual report van ASM International getoond. Daarin laten we zien welke werkzaamheden de controlerend accountant heeft uitgevoerd op de niet-financiële onderdelen van het rapport, in het ‘Independent Auditor’s Report on the non-financial information’. Daarin staat ook helder dat de stakeholdersdialoog wordt gecontroleerd als medebepalende factor ter vaststelling van te rapporteren aspecten. In het tweede tekstgedeelte uit het verslag van ASM International wordt een direct verband gelegd met de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EFZAG">CSRD</abbrev>. In dat stuk worden enkele interessante opmerkingen geplaatst: de niet-financiële aspecten in het rapport zijn gecontroleerd met ‘limited assurance’, zoals ook al een jaar eerder, maar vooral vooruitlopend op de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EJZAG">CSRD</abbrev>. Daarbij stelt de onderneming ook dat er nog een verschillenanalyse met betrekking tot de stand van zaken en de vereisten vanuit de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0ENZAG">CSRD</abbrev> zal worden uitgevoerd.</p>
      <p>In de ASCX zijn er ook voorbeelden gevonden van aan compliance gekoppelde doelstellingen. Acomo stelt dat in de strategie rekening wordt gehouden met de <abbrev xlink:title="Non-Financial Reporting Directive" id="ABBRID0ETZAG">NFRD</abbrev> en de komende <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EXZAG">CSRD</abbrev>. Hun materialiteitsanalyse wordt ook uitgelegd: materiële onderwerpen zijn met externe experts vastgesteld en met input van stakeholders verfijnd. In het verslag wordt geen dubbele materialiteit genoemd, en er wordt in gesteld dat de materialiteitsanalyse aan de hand van het GRI-raamwerk is uitgevoerd. Die is anders dan de dubbele materialiteit uit de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0E2ZAG">CSRD</abbrev>, maar GRI ondersteunt die wel (<xref ref-type="bibr" rid="B3">Adams et al. 2021</xref>). Heijmans is ook als voorbeeld van de toepassing van dubbele materialiteit genoemd. De materialiteitsanalyse is aangepast en is nu tweezijdig. Heijmans noemt overigens de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0ED1AG">CSRD</abbrev> niet, maar wel de <abbrev xlink:title="Non-Financial Reporting Directive" id="ABBRID0EH1AG">NFRD</abbrev>.</p>

      <title>5. Conclusie en slotbeschouwingen</title>
      <p>In dit onderzoek is vastgesteld dat Nederlandse ondernemingen veel verschillende sociale aspecten noemen in hun jaarrapporten. Ondernemingen rapporteren, nog voordat het onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0ER1AG">CSRD</abbrev> verplicht is gesteld, over veel van de centrale aspecten, maar ook over veel van de detailaspecten; van de 33 sub-sub-aspecten worden er 27 ergens in de onderzochte rapporten genoemd. Dit onderzoek laat niet zien wat er niet is gerapporteerd, maar wat er wél zou moeten worden gerapporteerd op basis van een deugdelijke materialiteitsanalyse.</p>
      <p>De 75 onderzochte ondernemingen publiceerden in totaal 257 rapporten over het boekjaar 2022. Een duidelijke conclusie over de onderliggende motieven voor publicatie kan niet worden gegeven, maar als we een koppeling maken met de aanstaande verplichte toepassing van de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EX1AG">CSRD</abbrev> en het mogelijke vooruitlopen daarop, kunnen we wel enig idee geven over de onderliggende fenomenen bij de publicatie van informatie over sociale aspecten.</p>
      <p>Of aspecten wel of niet gerapporteerd worden, hangt onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0E41AG">CSRD</abbrev> af van (dubbele) materialiteit: is een duurzaamheidsaspect materieel in enkelvoudige zin, of dubbel en daarmee in financiële zin materieel en/of in het kader van impact materieel? Als door ondernemingen over sociale aspecten wordt gerapporteerd, vooruitlopend op de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EB2AG">CSRD</abbrev>, dan is de kans groot dat dubbele materialiteit een rol zal spelen.</p>
      <p>In theoretische zin is het niet duidelijk of sociale aspecten financiële waarde opleveren, maar ze kunnen kosten met zich meebrengen. En wellicht speelt impactmaterialiteit een grote rol. Dit zou een interessante onderzoeksvraag kunnen opleveren; zijn sociale aspecten vooral qua impact materieel of ook in financiële zin?</p>
      <p>Waar geen uitsluitsel over kon worden gegeven, is de detaillering van de rapportages zelf: wordt er in detail over prestaties op sociale aspecten gerapporteerd? We weten alleen dat detailaspecten worden genoemd, of niet. Een ander voorbehoud dat moet worden gemaakt voor de werkwijze: in ons onderzoek is specifiek gebruik gemaakt van de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EI2AG">CSRD</abbrev> en de <abbrev xlink:title="European Sustainability Reporting Standards" id="ABBRID0EM2AG">ESRS</abbrev>’en. We hebben met gebruikmaking van speciale software gezocht naar woorden en aspecten daaruit, die in de verslagen worden genoemd. We gebruiken de ‘topics’ en de ‘sub-sub-topics’ uit S1–S4 om te zoeken naar rapportage-aspecten. Daarbij is er een kans dat anders geformuleerde aspecten over het hoofd worden gezien, maar dat hebben we geprobeerd te ondervangen door naar woordcombinaties te zoeken en ook door meerdere alternatieve begrippen in te voeren. Dat neemt niet weg dat we er zeker van zijn dat onze analyse niet compleet is. Wel geeft onze analyse een interessant beeld van wat ondernemingen rapporteren voordat het rapporteren van allerlei detailaspecten verplicht gesteld gaat worden. Rapporteren over sociale aspecten in grote lijnen is al verplicht, maar niet in detail. Hoewel we geen oorzakelijk verband tussen de aankondiging van de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EQ2AG">CSRD</abbrev> en de rapportage van sociale aspecten hebben onderzocht, kan wel met enige zekerheid worden gesteld dat in de rapporten over 2022 al reeds wordt gerapporteerd over sociale aspecten die onder de <abbrev xlink:title="Corporate Sustainability Reporting Directive" id="ABBRID0EU2AG">CSRD</abbrev> verplicht worden gesteld. Sociale aspecten blijken materieel te zijn voor de meeste Nederlandse index-ondernemingen.</p>
